1.General

This Schedule forms part of the Terms and Conditions. It sets out, for each customer region, the Nathan Digital contracting entity and its particulars, the governing law and jurisdiction, and the applicable dispute resolution process.

Dispute Resolution

Any dispute arising out of or in connection with the Terms, including its existence, interpretation, application, breach or termination, shall be resolved as follows:

  1. 1.1.1

    Informal Resolution. The parties will first attempt to resolve the dispute through good faith discussions between their senior representatives within 5 (five) days of referral.

  2. 1.1.2

    Arbitration. If the dispute is not resolved, it shall be finally resolved by arbitration under the Rules of Arbitration of the Dubai International Arbitration Centre (“DIAC”).

    1. (a)The seat of arbitration shall be Dubai, United Arab Emirates.
    2. (b)The language of the arbitration shall be English.
    3. (c)The tribunal shall consist of one arbitrator, unless otherwise agreed.
    4. (d)The arbitral award shall be final and binding and may be enforced in any court of competent jurisdiction.
    5. (e)The proceedings shall be confidential.
  3. 1.1.3

    Urgent Relief. Nothing in this clause prevents a party from seeking urgent or interim relief from a court of competent jurisdiction.
